Terms and Conditions

1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, or “you”) and Code Builders Technologies Pvt. Ltd. (“Code Builders”, “we”, “us”). By accessing our website, engaging our custom software development services, or enrolling in our tech training programs, you agree to be bound by these Terms.

2. Scope of IT Services & Engagements

Code Builders delivers enterprise engineering services including custom application development, cloud architectures, UI/UX design, and intensive tech training programs. Detailed specifications, milestones, deliverables, and SLAs for engineering projects are defined in mutually agreed Statements of Work (SOW) or Master Service Agreements (MSA).

3. Intellectual Property Rights

• Client Deliverables: Upon receipt of full payment according to the agreed milestone schedule, all custom source code, documentation, and assets developed specifically for the Client transfer to the Client.
• Pre-Existing IP & Frameworks: Code Builders retains all rights to its pre-existing proprietary tools, starter kits, reusable libraries, and training curricula developed independently of client engagements.
• Website Content: All brand trademarks, logos, visual graphics, and website code are the exclusive property of Code Builders Technologies.

4. Client Obligations & Collaboration

Successful delivery relies on collaborative communication. Clients agree to provide timely feedback, necessary credentials, test data, and technical access required for milestone execution. Unforeseen delays caused by unavailable third-party services or client approvals may adjust estimated delivery timelines.

5. Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, software architectures, source code, client records, and technical documentation as confidential information. Neither party shall disclose proprietary information without prior written consent, except where required by law.

6. Warranties & Limitation of Liability

We guarantee that our software services will be performed in a professional, workmanlike manner adhering to modern software engineering best practices. To the maximum extent permitted by applicable law, Code Builders shall not be liable for indirect, consequential, or punitive damages resulting from third-party server downtime, cyber-attacks, or unauthorized data access beyond reasonable safeguards.

7. Termination & Dispute Resolution

Either party may terminate an engagement pursuant to the conditions outlined in the specific project MSA. These Terms shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction in the courts of Puducherry, India.
